Please read these Terms of Service ("Terms") carefully before using the Vero Price Match website or mobile application (collectively, the "Service") operated by Vero Price Match ("Vero," "we," "us," or "our"), a company based in Texas, United States.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Use of Service

Subject to these Terms, Vero grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or use automated means to access the Service without our written permission.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Use the Service to transmit spam, malware, or other harmful content.
• Reproduce, distribute, or create derivative works from our content without permission.
• Falsify, manipulate, or misrepresent verification results to obtain unauthorized price adjustments.
• Attempt to deceive retailers using modified or fraudulent price match proofs generated by or derived from the Service.

3. User Accounts

When you create an account with Vero, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at info@veropricematch.com if you suspect any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Vero Price Match and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. All rights not expressly granted are reserved.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Vero is a price match verification tool only. It does not guarantee that any retailer will approve a price match request. Pricing data displayed in the Service may be delayed, incomplete, inaccurate, or no longer available at the time of your in-store visit. We make no representation that the information shown reflects a retailer's current pricing, stock levels, or active policy.

Each retailer's own price match policy, product eligibility rules, inventory status, and individual manager discretion solely control whether a price match is approved or denied. Vero has no authority over retailer decisions and accepts no responsibility for their outcomes.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERO PRICE MATCH, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability to you for any claims under these Terms shall not exceed the greater of (a) the amount you paid to Vero in the twelve months preceding the claim, or (b) $50 USD.

Without limiting the foregoing, Vero is expressly not liable for: denied price matches, refused savings, checkout disputes, time or effort spent attempting a price match, or any discrepancy between information shown in the Service and a retailer's actual in-store pricing, availability, or policy at the time of your visit.

7. Price Match Results; No Guarantee

• Vero provides price match verification as an informational aid only. Nothing in the Service constitutes a guarantee that any price match will be approved by any retailer.
• Results shown are based on publicly available pricing at the time of the query and may not reflect current in-store availability, promotional exclusions, bundle restrictions, or recent retailer policy updates.
• Retailers may decline price matches for any reason, including but not limited to: the product not being identical, the item being out of stock at the competitor, coupon or promotional pricing exclusions, online-only pricing, regional pricing differences, or individual cashier or manager discretion.
• Users are solely responsible for verifying price match eligibility directly with the retailer prior to checkout. Vero encourages users to review each retailer's published price match policy before initiating a request.
• Misuse of Vero's verification output — including presenting altered screenshots, falsified QR codes, or manipulated proof documents — may constitute fraud under applicable law and may be reported to the appropriate authorities.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vero Price Match and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.
